Mr Dingemans worked on the private equity takeover of Alliance Boots as well as Novartis's $28.1bn (£18.2bn) takeover of Alcon. The 47-year-old is well known to GSK chairman Sir Christopher Gent who was chief executive of Vodafone at the time of the Mannesman deal. The banker also worked with GSK to create its new HIV joint-venture with Pfizer.
GSK said Mr Dingemans would take a cut in his overall remuneration package to join the company and that his pay would be set at the same benchmarks as his predecessor.
Mr Heslop, whose departure was a "joint" decision with Mr Witty, earned £1.165m last year, including a base salary of £507,000.
Mr Dingemans said: "Joining a global company as CFO is something I have been keen to do as a next career step for some time."
